Terms of service
Who you are contracting with
HoLeaf.uk is a sole-trader practice based in Wrexham, UK. By placing an order you confirm you are authorised to enter a contract on behalf of your business.
The product you are buying
Each product page describes what is and is not included. Quoted prices are in GBP and exclude VAT unless stated. Discovery, Consultancy & Development time, packages, and subscriptions all have their scope defined on their respective pages.
Scheduling and capacity
Slots are booked against current availability. Where a delivery date is offered, it is given in good faith based on the information provided at quote time. Material changes to scope may change the date.
Your responsibilities
- Provide content, access, and decisions in a reasonable time so the work can progress.
- Make sure you have the rights to any assets, copy, or accounts you ask us to use.
- Keep your own backups of accounts and credentials we are given access to.
Our responsibilities
- Deliver the work to the standard described on the relevant product page.
- Apply senior judgement to AI-assisted delivery rather than shipping unreviewed output.
- Communicate clearly when something is blocked, out of scope, or going to slip.
Payment
Single products are paid up front. Packages may be invoiced in stages as set out on their page. Subscriptions are billed monthly until cancelled. Late payment may pause active work.
Ownership
On full payment, ownership of bespoke deliverables (code we write specifically for you, written advice, designs) transfers to you. Underlying tools, frameworks, and reusable components remain ours and are licensed to you for use within the delivered project.
Liability
We are not liable for indirect or consequential losses (lost profit, lost goodwill, lost data caused by third-party platforms). Our total liability for any one engagement is capped at the fees paid for that engagement. Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.

Governing law
These terms are governed by the laws of England and Wales and any disputes are subject to the exclusive jurisdiction of its courts.
